Agreement between User and Fourth Wall Tickets LLC
Welcome to CrowdWork. The CrowdWork website (the "Site") is composed of various web pages (collectively referred to as the "Platform") operated by Fourth Wall Tickets LLC (hereafter referenced as "Fourth Wall Tickets"). Platform is offered to you conditionally based on your acceptance without modification of the terms, conditions, and notices contained herein (the "Terms"). Your use of the Platform constitutes your agreement to all such Terms. Please read these terms carefully and keep a copy of them for your reference.
For purposes of these Terms: (a) "Platform" means the CrowdWork website, applications, and related services; (b) "Venue" or "Organizer" means a business or individual that uses the Platform to list, market, or sell tickets to events, shows, classes, or similar experiences ("Events"); (c) "Buyer" means a user that purchases or attempts to purchase tickets or registrations to an Event; and (d) "Content" means any information, text, images, listings, event details, or other materials made available through the Platform.
Fourth Wall Tickets provides a software platform that enables Venues/Organizers to create Event listings and accept payments. Unless Fourth Wall Tickets expressly states otherwise in writing, Fourth Wall Tickets is not the promoter, organizer, or operator of any Event, and Fourth Wall Tickets does not control the Venue/Organizer's Event content, policies, or performance.
Your use of the Platform is subject to Fourth Wall Tickets' Privacy Policy. Please review our Privacy Policy, which also governs the Site and informs users of our data collection practices and its usage.
By using the Platform, you consent to receive electronic communications from Fourth Wall Tickets (e.g., email, in-Platform notifications, and messages to contact points you provide) relating to your account, purchases, subscriptions, security, and other service-related matters. Where required by law, Fourth Wall Tickets will obtain your consent before sending marketing messages. If Fourth Wall Tickets sends marketing emails, you may opt out at any time using the unsubscribe mechanism included in those messages. If Fourth Wall Tickets offers SMS/text messaging features, message frequency may vary and standard message/data rates may apply; you can opt out by replying STOP (or as otherwise instructed at sign-up).
If you use this site, you are responsible for maintaining the confidentiality of your account and password and for restricting access to your computer, and you agree to accept responsibility for all activities that occur under your account or password. You may not assign or otherwise transfer your account to any other person or entity. You acknowledge that Fourth Wall Tickets is not responsible for third-party access to your account that results from theft or misappropriation of your account. Fourth Wall Tickets and its associates reserve the right to refuse or cancel service, terminate accounts, or remove or edit content at our sole discretion at any time.
The Fourth Wall Tickets platform is not directed to children under 13, and Fourth Wall Tickets does not knowingly collect personal information from persons under the age of 13. If you are under 18 (or the age of majority where you live), you may use the Platform only with the involvement/permission of a parent or legal guardian.
Account cancellation. You may request cancellation of your account by contacting support@crowdwork.com. Cancellation of an account does not automatically cancel active subscriptions (if any) unless you also cancel the subscription in your account settings or as otherwise instructed at sign-up.
Ticket/registration purchases. Refund eligibility (if any) for Event tickets/registrations is determined by the applicable Venue/Organizer's published refund policy for that Event, except where Fourth Wall Tickets expressly states otherwise. Fourth Wall Tickets service fees (if any) are non-refundable unless required by law or Fourth Wall Tickets expressly agrees otherwise.
Event changes/cancellations. If an Event is canceled, postponed, rescheduled, or materially changed, the Venue/Organizer is responsible for communicating the applicable options (e.g., refund, credit, exchange) consistent with its policy and applicable law.
Payment processing. Payments made through the Platform may be processed by Fourth Wall Tickets and/or third-party payment processors. You agree to provide accurate payment information and authorize Fourth Wall Tickets (and/or its payment processors) to charge the payment method you provide for amounts due, including applicable taxes and fees.
Stored payment methods. If you choose to store a payment method, you authorize Fourth Wall Tickets and/or its payment processors to retain payment credentials (often in tokenized form) to facilitate future purchases and/or recurring charges.
Recurring charges; subscriptions. If you enroll in a subscription, membership, or recurring billing feature, you authorize Fourth Wall Tickets (and/or its payment processors) to charge your stored payment method at the stated interval until you cancel. Subscription fees are generally non-refundable except where required by law or expressly stated in the subscription terms presented at sign-up.
Chargebacks and payment disputes. If you initiate a chargeback or other payment dispute, you agree to cooperate and provide information reasonably requested to evaluate the dispute. Fourth Wall Tickets may suspend or terminate your account and/or require you to resolve outstanding balances before restoring access, subject to applicable law.
Merchant of record. Depending on the Event and configuration, Fourth Wall Tickets or the applicable Venue/Organizer (or its designated processor) may be the merchant of record for ticket transactions. The merchant of record controls dispute handling, payment reversals, and chargeback processes. Where Fourth Wall Tickets is not the merchant of record, Fourth Wall Tickets is not responsible for chargeback outcomes, refunds, or reversals implemented by the Venue/Organizer or its processor.
Fees. Fourth Wall Tickets may charge service fees, processing fees, subscription fees, and other fees in connection with the Platform ("Fees"). Unless expressly stated otherwise at checkout or in an order flow, Fees are non-refundable to the maximum extent permitted by law.
Price display; currency. Prices may be displayed in local currency or U.S. dollars, as indicated at checkout. You authorize the charge of the total amount shown at checkout, including any applicable Fees and taxes.
Taxes. Venues/Organizers are responsible for determining, collecting, reporting, and remitting all taxes applicable to Events and ticket sales (including sales tax, VAT, GST, amusement taxes, and similar transaction taxes), except to the extent Fourth Wall Tickets expressly agrees in writing to act as the collector or withholder for a specific tax in a specific jurisdiction. Fourth Wall Tickets may collect location or tax-related information to calculate and present estimated taxes at checkout where required or commercially reasonable.
Listings. Venues/Organizers are solely responsible for (a) the accuracy and completeness of Event listings and policies (including pricing, capacity, age restrictions, accessibility, and refund terms), and (b) fulfilling the Event as described.
Buyer experience. Buyers are responsible for reviewing Event details, venue rules, and refund policies before purchasing.
No responsibility for Events. Fourth Wall Tickets does not guarantee that any Event will occur as scheduled, that admission will be granted, or that an Event will meet Buyer expectations.
Compliance. Venues/Organizers are responsible for complying with applicable laws and regulations relating to their Events, including permitting, safety, taxes, required disclosures, and consumer-protection obligations.
Delivery and access. Ticket delivery methods are set by the Venue/Organizer. You are responsible for providing accurate contact information and for retrieving, printing, or presenting tickets as required, and for complying with venue entry requirements.
Safeguarding tickets. Once tickets are made available to you (including via email or your account), you are responsible for safeguarding them. Lost, stolen, or misdirected tickets may not be replaceable.
Fraud and abuse. Fourth Wall Tickets may refuse, cancel, or limit any transaction it reasonably believes is fraudulent, abusive, or in violation of these Terms, and may require additional verification before completing or honoring a transaction.
Resales and transfers. Unless expressly permitted by the Venue/Organizer and applicable law, tickets may not be resold or transferred for commercial purposes. Any attempted resale or transfer in violation of these Terms or the Venue/Organizer's policies may result in cancellation without refund and/or denial of entry, to the maximum extent permitted by law.
The Platform may contain links to other websites ("Linked Sites"). The Linked Sites are not under the control of Fourth Wall Tickets and Fourth Wall Tickets is not responsible for any Linked Site's contents, including any link contained in a Linked Site, or any changes or updates to a Linked Site. Fourth Wall Tickets and the Platform is providing these links to you only as a convenience, and the inclusion of any link does not imply endorsement by Fourth Wall Tickets of the site or any association with its operators.
Certain services made available via the Platform are delivered by third-party sites and organizations. By using any product, service, or functionality originating from the Platform domain, you hereby acknowledge and consent that Fourth Wall Tickets may share such information and data with any third party with whom Fourth Wall Tickets has a contractual relationship to provide the requested product, service or functionality on behalf of Fourth Wall Tickets users and customers.
You are granted a non-exclusive, non-transferable, revocable license to access and use the Platform strictly in accordance with these terms of use. As a condition of your use of the Site, you warrant to Fourth Wall Tickets that you will not use the Site for any purpose that is unlawful or prohibited by these Terms in the jurisdiction in which you are using the Site. You may not use the Site in any manner which could damage, disable, overburden, or impair the Site or interfere with any other party's use and enjoyment of the Site. You may not obtain or attempt to obtain any materials or information through any means not intentionally made available or provided for through the Site.
All content included as part of the Service, such as text, graphics, logos, images, as well as the compilation thereof, and any software used on the Site, is the property of Fourth Wall Tickets or its suppliers and protected by copyright and other laws that protect intellectual property and proprietary rights. You agree to observe and abide by all copyright and other proprietary notices, legends, or other restrictions contained in any such content and will not make any changes thereto.
You will not modify, publish, transmit, reverse engineer, participate in the transfer or sale, create derivative works, or in any way exploit any of the content, in whole or in part, found on the Site. Fourth Wall Tickets and the Platform content is not for resale. Your use of the Site does not entitle you to make any unauthorized use of any protected content, and in particular, you will not delete or alter any proprietary rights or attribution notices in any content. You will use protected content solely for your personal use and will make no other use of the content without the express written permission of Fourth Wall Tickets and the copyright owner. You agree that you do not acquire any ownership rights in any protected content. We do not grant you any licenses, express or implied, to the intellectual property of Fourth Wall Tickets or our licensors except as expressly authorized by these Terms.
If you believe content on the Platform infringes your copyright, please send a notice to hello@crowdwork.com with: (a) your contact information; (b) identification of the copyrighted work claimed to be infringed; (c) identification of the material and its location on the Platform; (d) a statement that you have a good-faith belief the use is not authorized; and (e) a statement, under penalty of perjury, that the information is accurate and you are the owner or authorized to act on the owner's behalf, along with a physical or electronic signature. We may remove or disable access to allegedly infringing material and, in appropriate circumstances, terminate repeat infringers.
Your Content. If you submit, upload, post, or transmit Content through the Platform, you represent you have the rights to do so and your Content does not violate law or third-party rights. You grant Fourth Wall Tickets a non-exclusive, worldwide, royalty-free license to host, store, reproduce, modify (for formatting/display), display, and distribute such Content as necessary to operate, provide, secure, improve, and promote the Platform, and to fulfill transactions and Event-related functionality. This license includes the right to make your Content available to the applicable Venue/Organizer and to our service providers solely for these purposes.
Moderation/takedown. Fourth Wall Tickets may remove or disable access to Content at any time in its discretion (including for suspected violations of these Terms or applicable law).
Feedback. If you provide suggestions or feedback, you grant Fourth Wall Tickets the right to use it without restriction or compensation.
You will be able to connect your Platform account to third-party accounts. By connecting your Platform account to your third-party account, you acknowledge and agree that you are consenting to the continuous release of information about you to others (in accordance with your privacy settings on those third party sites). If you do not want information about you to be shared in this manner, do not use this feature.
The Service is controlled, operated and administered by Fourth Wall Tickets from our offices within the USA. If you access the Service from a location outside the USA, you are responsible for compliance with all local laws. You agree that you will not use the Fourth Wall Tickets Content accessed through the Platform in any country or in any manner prohibited by any applicable laws, restrictions or regulations.
You agree to indemnify, defend and hold harmless Fourth Wall Tickets, its officers, directors, employees, agents, and third parties for any losses, costs, liabilities, and expenses (including reasonable attorney's fees) relating to or arising out of your use of or inability to use the Site or services, any user postings made by you, your violation of any terms of this Agreement or your violation of any rights of a third party, or your violation of any applicable laws, rules or regulations. Fourth Wall Tickets reserves the right, at its own cost, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which event you will fully cooperate with Fourth Wall Tickets in asserting any available defenses.
Except as provided in the "Small Claims Court" and "Injunctive Relief" paragraphs below, any dispute, claim, or controversy arising out of or relating to these Terms, the Platform, or your use of the Platform (a "Dispute") will be resolved by final and binding arbitration pursuant to the Federal Arbitration Act. The arbitration will be conducted by a single neutral arbitrator and administered by the American Arbitration Association ("AAA") under its applicable rules (or, if AAA is unavailable, by a comparable arbitration provider selected by the parties), and will take place in Cook County, Illinois, unless the parties agree otherwise. The arbitrator will have exclusive authority to resolve any dispute regarding the interpretation, applicability, enforceability, or formation of this arbitration provision, including any claim that all or part of it is void or voidable. The arbitrator's award will be final and may be entered as a judgment in any court of competent jurisdiction. The arbitrator may award any relief available in court; and, to the extent permitted by law, the prevailing party may recover its reasonable attorneys' fees and costs. This arbitration provision will survive termination of these Terms.
Before initiating arbitration, you and Fourth Wall Tickets agree to first attempt to resolve any Dispute informally. The initiating party must send a written notice describing the Dispute and the relief sought ("Notice of Dispute") to the other party at: Fourth Wall Tickets LLC, Attn: Legal—Notice of Dispute, 3712 N Broadway PMB #250, Chicago, IL 60613, and by email to hello@crowdwork.com. The parties will attempt in good faith to resolve the Dispute within thirty (30) days after the Notice of Dispute is received (which may be extended by mutual agreement).
You may opt out of this arbitration agreement by sending written notice of your decision to opt out to hello@crowdwork.com within thirty (30) days of first accepting these Terms (or, if later, within thirty (30) days of the effective date of a material change to the Arbitration provision). Your opt-out notice must include your name, the email address associated with your account, and a clear statement that you are opting out of arbitration.
Either party may bring an individual claim in small claims court in Cook County, Illinois (or, if eligible, in the small claims court in the county where you reside), so long as the claim remains in that court and proceeds only on an individual basis.
Either party may seek temporary or preliminary injunctive relief in a court of competent jurisdiction to prevent (i) unauthorized access to the Platform, (ii) misuse of credentials, or (iii) infringement or misappropriation of intellectual property, without waiving arbitration for all other claims.
Any arbitration under these Terms and Conditions will take place on an individual basis; class arbitrations and class/representative/collective actions are not permitted. THE PARTIES AGREE THAT A PARTY MAY BRING CLAIMS AGAINST THE OTHER ONLY IN EACH'S INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PUTATIVE CLASS, COLLECTIVE AND/ OR REPRESENTATIVE PROCEEDING, SUCH AS IN THE FORM OF A PRIVATE ATTORNEY GENERAL ACTION AGAINST THE OTHER. Further, unless both you and Fourth Wall Tickets agree otherwise, the arbitrator may not consolidate more than one person's claims, and may not otherwise preside over any form of a representative or class proceeding.
Nothing in these Terms limits any consumer rights that cannot be excluded or limited under applicable law. If you are a consumer resident in the United Kingdom or European Economic Area, you may have additional mandatory rights and remedies, and certain provisions of these Terms (including arbitration and limitations of liability) may not apply to you to the extent prohibited by applicable law.
THE INFORMATION, SOFTWARE, PRODUCTS, AND SERVICES INCLUDED IN OR AVAILABLE THROUGH THE SITE MAY INCLUDE INACCURACIES OR TYPOGRAPHICAL ERRORS. CHANGES ARE PERIODICALLY ADDED TO THE INFORMATION HEREIN. FOURTH WALL TICKETS LLC AND/OR ITS SUPPLIERS MAY MAKE IMPROVEMENTS AND/OR CHANGES IN THE SITE AT ANY TIME.
FOURTH WALL TICKETS LLC AND/OR ITS SUPPLIERS MAKE NO REPRESENTATIONS ABOUT THE SUITABILITY, RELIABILITY, AVAILABILITY, TIMELINESS, AND ACCURACY OF THE INFORMATION, SOFTWARE, PRODUCTS, SERVICES AND RELATED GRAPHICS CONTAINED ON THE SITE FOR ANY PURPOSE. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ALL SUCH INFORMATION, SOFTWARE, PRODUCTS, SERVICES AND RELATED GRAPHICS ARE PROVIDED "AS IS" WITHOUT WARRANTY OR CONDITION OF ANY KIND. FOURTH WALL TICKETS LLC AND/OR ITS SUPPLIERS HEREBY DISCLAIM ALL WARRANTIES AND CONDITIONS WITH REGARD TO THIS INFORMATION, SOFTWARE, PRODUCTS, SERVICES AND RELATED GRAPHICS, INCLUDING ALL IMPLIED WARRANTIES OR CONDITIONS OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE AND NON-INFRINGEMENT.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL FOURTH WALL TICKETS LLC AND/OR ITS SUPPLIERS BE LIABLE FOR ANY DIRECT, INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, CONSEQUENTIAL DAMAGES OR ANY DAMAGES WHATSOEVER INCLUDING, WITHOUT LIMITATION, DAMAGES FOR LOSS OF USE, DATA OR PROFITS, ARISING OUT OF OR IN ANY WAY CONNECTED WITH THE USE OR PERFORMANCE OF THE SITE, WITH THE DELAY OR INABILITY TO USE THE SITE OR RELATED SERVICES, THE PROVISION OF OR FAILURE TO PROVIDE SERVICES, MALICIOUS ATTACK, COMPROMISE, DATA LEAK, OR FOR ANY INFORMATION, SOFTWARE, PRODUCTS, SERVICES AND RELATED GRAPHICS OBTAINED THROUGH THE SITE, OR OTHERWISE ARISING OUT OF THE USE OF THE SITE, WHETHER BASED ON CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY OR OTHERWISE, EVEN IF FOURTH WALL TICKETS LLC OR ANY OF ITS SUPPLIERS HAS BEEN ADVISED OF THE POSSIBILITY OF DAMAGES. BECAUSE SOME STATES/JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF LIABILITY FOR CONSEQUENTIAL OR INCIDENTAL DAMAGES, THE ABOVE LIMITATION MAY NOT APPLY TO YOU. IF YOU ARE DISSATISFIED WITH ANY PORTION OF THE SITE, OR WITH ANY OF THESE TERMS OF USE, YOUR SOLE AND EXCLUSIVE REMEDY IS TO DISCONTINUE USING THE SITE.
Fourth Wall Tickets reserves the right, in its sole discretion, to terminate your access to the Site and the related services or any portion thereof at any time, without notice.
To the maximum extent permitted by law, this agreement is governed by the laws of the State of Illinois, without regard to conflict of laws principles.
Subject to the Arbitration section above (including any carve-outs stated there), any court proceedings must be brought in the state or federal courts located in Cook County, Illinois, and the parties consent to personal jurisdiction and venue in those courts.
You agree that no joint venture, partnership, employment, or agency relationship exists between you and Fourth Wall Tickets as a result of this agreement or use of the Site.
Fourth Wall Tickets' performance of this agreement is subject to existing laws and legal process, and nothing contained in this agreement is in derogation of Fourth Wall Tickets' right to comply with governmental, court and law enforcement requests or requirements relating to your use of the Site or information provided to or gathered by Fourth Wall Tickets with respect to such use.
Fourth Wall Tickets will not be liable for any delay or failure to perform resulting from causes beyond its reasonable control, including acts of God, natural disasters, war, terrorism, riots, labor disputes, power or internet outages, governmental actions, or failures of third-party service providers (including hosting, payment processing, and telecommunications), provided that we use commercially reasonable efforts to restore the Services
If any part of this agreement is determined to be invalid or unenforceable pursuant to applicable law (including, but not limited to, the warranty disclaimers and liability limitations set forth above), then the invalid or unenforceable provision will be deemed superseded by a valid, enforceable provision that most closely matches the intent of the original provision and the remainder of the agreement shall continue in effect.
Unless otherwise specified herein, this agreement constitutes the entire agreement between the user and Fourth Wall Tickets with respect to the Site and it supersedes all prior or contemporaneous communications and proposals, whether electronic, oral or written, between the user and Fourth Wall Tickets with respect to the Site.
A printed version of this agreement and of any notice given in electronic form shall be admissible in judicial or administrative proceedings based upon or relating to this agreement to the same extent and subject to the same conditions as other business documents and records originally generated and maintained in printed form. It is the express wish to the parties that this agreement and all related documents be written in English.
You may access and use the Platform only for your personal, non-commercial use (as a Buyer) or for your internal business use in connection with offering and administering Events (as a Venue/Organizer), in each case in accordance with these Terms.
You will not, and will not permit any third party to: (a) copy, reproduce, distribute, publicly display, or create derivative works from Platform content except as incident to ordinary browsing and ticket purchasing and except where a Venue/Organizer expressly authorizes use of its Event materials; (b) use the Platform or Platform content to build, train, or improve any product or service that competes with the Platform; (c) scrape, crawl, index, harvest, or otherwise extract data or content from the Platform through automated means (including bots, spiders, scrapers, or similar technologies) without Fourth Wall Tickets' express written permission; (d) attempt to bypass or circumvent access controls, rate limits, or security measures; (e) interfere with or disrupt the Platform, including introducing malware or other malicious code; or (f) use the Platform for unlawful purposes or to infringe the rights of others.
Fourth Wall Tickets may investigate suspected violations of this section and may suspend or terminate access, remove content, or take other appropriate action consistent with these Terms and applicable law.
Fourth Wall Tickets reserves the right, at its sole discretion, to change the Terms under which Fourth Wall Tickets are offered. The most current version of the Terms will supersede all previous versions. Fourth Wall Tickets encourages you to periodically review the Terms to stay informed of our updates.
